1. Agreement to These Terms

These Terms of Use (the "Terms") are a legally binding agreement between you and Happy Broadcast, Inc. ("we," "us," or "our"), a Delaware corporation, governing your access to and use of The Happy Broadcast iOS app (the "App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

Please also read our Privacy Policy, which is incorporated into these Terms by reference and describes how we collect and use your information.

2. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you are 13 or older. If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction, if higher), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly permit children under 13 to use the App. If we become aware that a child under 13 has provided information through the App, we will delete that information promptly.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes.

This license does not include the right to:

• sublicense, sell, resell, transfer, assign, or otherwise exploit the App;
• modify, translate, adapt, or create derivative works based on the App or its content;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
• use automated tools (bots, scrapers, crawlers) to access, collect, or interact with the App or its content;
• remove, alter, or obscure any proprietary notices (including copyright and trademark notices) in or on the App; or
• use the App for any purpose that is illegal, harmful, or prohibited by these Terms.

4. Apple App Store — Additional Terms

The App is distributed through the Apple App Store. Your use of the App is also subject to the Apple Media Services Terms and Conditions. You acknowledge and agree that:

• These Terms are between you and Happy Broadcast, Inc. only, and not with Apple, Inc. Apple is not responsible for the App or its content.
• Apple has no obligation to furnish any maintenance or support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, consumer-protection claims, or intellectual-property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

5. User Content

5.1 What Counts as User Content

"User Content" means any information you submit or generate through the App, including your display name and story reactions (Smile, Hopeful, Inspiring).

5.2 License You Grant Us

By submitting User Content, you grant Happy Broadcast, Inc. a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, store, display, and distribute your User Content solely as necessary to operate and improve the App. For example, we display your display name on the Leaderboard and aggregate your reactions into the public reaction count shown on each story.

5.3 Your Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• you own or have the necessary rights to submit the User Content;
• your User Content does not violate any applicable law or the rights of any third party; and
• your User Content does not contain material that is offensive, defamatory, obscene, hateful, discriminatory, or otherwise objectionable.

5.4 Our Rights to Remove Content

We reserve the right, but not the obligation, to review, edit, or remove any User Content at our sole discretion, without notice to you, if we determine it violates these Terms or is otherwise harmful to the App or other users.

6. Display Names and Leaderboard Conduct

If you enter a display name to participate in the Leaderboard, you agree to the following:

• Choose Responsibly. Your display name is visible to all other users of the App. You may not use a display name that is offensive, harassing, deceptive, defamatory, or that impersonates another person or entity.
• No Real Name Required. You are not required to use your real name. We encourage the use of a pseudonym.
• Leaderboard is for Entertainment. The Leaderboard is provided for fun and community engagement. Rankings, streaks, and counts are for entertainment purposes only. We do not guarantee the accuracy of any Leaderboard data and reserve the right to adjust, reset, or remove Leaderboard entries at any time without notice. No Leaderboard position, streak count, or ranking constitutes a binding entitlement to any prize, reward, or benefit unless we expressly state otherwise in a separate written promotion.
• No Manipulation. You may not attempt to artificially inflate your streak, read count, share count, or any other Leaderboard metric through automated means, multiple accounts, or other dishonest methods.

7. Reading Streaks

The App tracks consecutive days on which you open the App and read at least one story, displayed as a reading streak. Reading streaks are a feature designed to encourage daily engagement with uplifting news and are provided for entertainment and motivational purposes only.

We do not guarantee that streak data will be retained indefinitely or accurately recorded in all circumstances (for example, in the event of a server outage, App update, or device change). A lost or reset streak does not entitle you to any compensation, remedy, or restoration. We reserve the right to modify or discontinue the streak feature at any time.

8. Push Notifications

By enabling notifications when prompted by iOS, you consent to receive push notifications from The Happy Broadcast, which may include:

• Daily reminders that new stories are available; and
• A weekly Sunday roundup notification.

You may opt out of push notifications at any time by navigating to iOS Settings → The Happy Broadcast → Notifications and disabling notifications. Opting out does not affect your ability to use any other features of the App.

9. Story Sharing

The App allows you to share individual stories via the native iOS share sheet (to Messages, email, social media, etc.) or directly to Instagram Stories. You may share stories for personal, non-commercial purposes in accordance with these Terms.

When you share a story, you agree not to:

• misrepresent the source or authorship of the content;
• alter the content in a way that is misleading or defamatory;
• use shared content for commercial purposes without our prior written consent; or
• share content in a manner that violates the intellectual property rights of The Happy Broadcast or any third party whose content is featured.

10. Intellectual Property

The App and all of its content — including but not limited to curated news stories, editorial selections, written summaries, illustrated artwork, graphics, logos, category names, color schemes, App design, UI elements, and software code — are owned by or licensed to Happy Broadcast, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

"The Happy Broadcast" and associated logos and marks are trademarks of Happy Broadcast, Inc. You may not use our trademarks without our prior written consent.

The limited license granted to you in Section 3 does not convey any ownership interest in the App or its content. All rights not expressly granted are reserved by Happy Broadcast, Inc.

Individual news stories featured in the App may reference or summarize third-party reporting. All original source material remains the property of the respective third-party publishers and is used in accordance with applicable law and fair use principles.

11. In-App Purchases and Subscriptions

As of the Effective Date, The Happy Broadcast does not offer paid subscriptions or in-app purchases. The App is free to download and use.

We may introduce optional paid features, subscriptions, or in-app purchases in the future. If we do, we will:

• clearly describe what is included in any paid offering before you purchase;
• process all payments through Apple's App Store payment system, subject to Apple's billing terms; and
• update these Terms and our Privacy Policy to reflect any new practices associated with paid features.

All purchases are final and non-refundable except as required by applicable law or Apple's refund policies.

12. Third-Party Links and Services

The App may contain links to external websites or content from third-party publishers. These links are provided for your convenience only. We do not endorse, control, or take responsibility for the content, privacy practices, or accuracy of any third-party websites or services. Your use of third-party services is at your own risk and subject to those third parties' terms and privacy policies.

13. Prohibited Conduct

In addition to the restrictions in Section 3, you agree not to:

• use the App in any manner that could damage, disable, overburden, or impair our servers or networks;
• attempt to gain unauthorized access to any part of the App, our systems, or other users' data;
• use the App to transmit any malware, spyware, or harmful code;
• collect or harvest any personally identifiable information from the App without our consent;
• use the App for any unlawful purpose or in violation of any applicable law or regulation; or
• interfere with or disrupt the integrity or performance of the App.

14. Disclaimers — No Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAPPY BROADCAST, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• the App will be uninterrupted, error-free, or free of viruses or other harmful components;
• the content in the App is accurate, complete, reliable, or up-to-date;
• any defects in the App will be corrected; or
• the App will meet your particular requirements or expectations.

News stories in the App are curated summaries of third-party reporting. We do not independently verify every fact in every story. The App is designed to inform and uplift, not to serve as a primary news source for critical decisions.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAPPY BROADCAST, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HAPPY BROADCAST, INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIFTY DOLLARS (US $50.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW, AND OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Happy Broadcast, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

17. Dispute Resolution — Binding Arbitration and Class Action Waiver

Please read this Section carefully. It affects your legal rights.

17.1 Informal Resolution First

Before initiating any formal dispute, you agree to contact us at legal@thehappybroadcast.com and give us 30 days to attempt to resolve your concern informally.

17.2 Binding Arbitration

If we cannot resolve your concern informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App — including questions about the existence, validity, interpretation, breach, or termination of these Terms — shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at adr.org), except as set forth in Section 17.4 below.

The arbitration will be conducted in English. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and we each waive the right to a trial by jury.

Cost of Arbitration. For claims of $10,000 or less, we will pay all AAA filing, administration, and arbitrator fees unless the arbitrator finds your claim to be frivolous. For claims over $10,000, fee allocation is governed by the AAA's Consumer Arbitration Rules.

17.3 Class Action Waiver

YOU AND HAPPY BROADCAST, INC. EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If any court or arbitrator determines that the class action waiver in this Section is void or unenforceable, the arbitration agreement in Section 17.2 shall be null and void with respect to such dispute, and the dispute shall be resolved in court pursuant to Section 17.4.

17.4 Exceptions — Small Claims and Injunctive Relief

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies. Additionally, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or other irreparable harm, without waiving the right to arbitrate all other claims.

17.5 Time Limit on Claims

ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION AROSE, OR THE CLAIM IS PERMANENTLY BARRED.

18. Governing Law and Venue

These Terms and any disputes arising hereunder are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. For any matters not subject to arbitration under Section 17, you and Happy Broadcast, Inc. consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware.

19. Termination and Suspension

We reserve the right, in our sole discretion, to suspend or terminate your access to the App (including removing your display name and Leaderboard data) at any time, with or without notice, if we determine that you have violated these Terms or that your conduct is harmful to other users, us, or third parties.

You may stop using the App at any time by deleting it from your device. To request deletion of your associated data, contact us at legal@thehappybroadcast.com.

Sections 5 (User Content), 10 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 21 (General) survive any termination of these Terms.

20. Modifications to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and may notify you through the App. Your continued use of the App after the revised Terms have been posted constitutes your acceptance of the updated Terms.

If you do not agree to the revised Terms, your only recourse is to discontinue use of the App.

21. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Happy Broadcast, Inc. with respect to the App and supersede all prior agreements, representations, and understandings.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign our rights under these Terms, including in connection with a merger, acquisition, or sale of assets.
• Notices. We may provide notices to you via the App or by posting to our website. You may send notices to us at legal@thehappybroadcast.com.
• Force Majeure. We are not liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, internet or network outages, third-party service failures, or government actions.
• Language. These Terms are written in English. Any translation is provided for convenience only; in the event of any conflict between an English version and a translated version, the English version controls.
